01Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Velivoa ("Velivoa", "we", "us") and govern your use of velivoa.com and the Velivoa service. By creating an account or using Velivoa you agree to these Terms and to our Privacy Policy. If you use Velivoa for an organisation, you confirm you are authorised to accept these Terms for it, and "you" includes that organisation.

YouTubeYouTube API Services

By using Velivoa to manage, upload, edit, delete, or otherwise interact with content on YouTube, you explicitly agree to be bound by the YouTube Terms of Service (https://www.youtube.com/t/terms). Velivoa uses YouTube API Services to provide these features. The scope Velivoa requests for that connection is https://www.googleapis.com/auth/youtube.force-ssl, which lets Velivoa upload, edit, and delete videos, show the comments on your videos in the Inbox, and post the replies you send, on your behalf when you ask it to.

Google's handling of data it receives is described in the Google Privacy Policy (http://www.google.com/policies/privacy). How Velivoa accesses, uses, stores, and shares YouTube data is in the Privacy Policy, including the Google API Services Limited Use requirements.

You may revoke Velivoa's access to your YouTube data at any time via the Google security settings page at https://myaccount.google.com/permissions and https://security.google.com/settings/security/permissions. You can also disconnect the channel inside Velivoa from Social Accounts, then Manage channel, then Disconnect.

02Who can use Velivoa

You must be at least 16 years old and able to form a binding contract, and not barred from using the service under applicable law. Velivoa is for businesses, creators and individuals managing their own social media.

03Accounts and workspaces

• Give accurate information and keep it up to date.
• Keep your login secure. You are responsible for activity in your account and in workspaces you own, including actions by teammates you invite.
• Workspace owners and admins control membership and roles. Content in a workspace belongs to the workspace owner.
• Tell us promptly at info@velivoa.com if you suspect unauthorised use.

04Your content

You keep all rights to the text, images, videos and other material you add to or create with Velivoa ("Your Content"). You give us a worldwide, non exclusive, royalty free licence to host, store, copy, process, adapt (for example resizing an image for a platform) and publish Your Content only as needed to provide and improve the service for you, including publishing it to the accounts you choose. This licence ends when Your Content is deleted from Velivoa, except for content already published to third party platforms.

You confirm you have the rights needed for Your Content and that it does not infringe anyone's rights or break the law.

05AI features

• AI features generate suggestions from your instructions and profile. Output may be inaccurate, incomplete or similar to content produced for others.
• You are responsible for reviewing AI output and for anything you choose to publish, schedule or automate.
• Do not use AI features to create content that is unlawful, deceptive, harmful or that violates others' rights or platform rules.
• AI usage counts toward your plan's AI action limits.

06Connected platforms

Velivoa connects to third party platforms such as Facebook, Instagram, LinkedIn and X using their official interfaces. When you connect an account you must follow that platform's terms and policies, and you authorise us to act for that account as you instruct. These platforms are not controlled by Velivoa: they may change features, limits or access, reject or remove posts, or suspend accounts, and we are not responsible for their actions or availability. Some features depend on the platform and may differ between them.

If you connect a YouTube channel, the YouTube API Services section above applies, including the YouTube Terms of Service, the Google Privacy Policy, and how you revoke access.

07Acceptable use

You must not use Velivoa to:

• break any law or regulation, or infringe intellectual property, privacy or other rights;
• send spam, run inauthentic or coordinated manipulation campaigns, or buy or sell engagement;
• publish content that is hateful, harassing, violent, sexually exploitative, or that misleads people, including impersonation and fake reviews;
• violate the terms or policies of any connected platform;
• access accounts or data you are not authorised to use;
• interfere with or overload the service, probe it for vulnerabilities without permission, or bypass limits or security;
• copy, resell or reverse engineer the service, except where the law allows it.

08Plans, trials and billing

• Plans: features and limits (such as AI actions, social accounts and team members) are described on our pricing page and in your Billing page.
• Free trial: new workspaces may start with a free trial. No payment card is needed. When the trial ends you need a paid plan to keep publishing.
• Billing: paid plans are billed in advance each month and renew automatically until cancelled. Prices exclude taxes, which are added where required.
• Price changes: we will give you at least 30 days' notice of price changes, which apply from your next billing period.
• Late payment: if a payment fails, we may limit paid features until it is resolved.

09Cancellation and refunds

You can cancel any time. Your plan stays active until the end of the current billing period and will not renew. Payments are non refundable for partial periods, except where the law requires otherwise or we state otherwise in writing.

10Our intellectual property

Velivoa, including its software, design, logos and trademarks, belongs to us and our licensors. We give you a limited, non exclusive, non transferable right to use the service under these Terms. If you send us feedback or ideas, we may use them without obligation to you.

11Availability and changes

We aim to keep Velivoa available and reliable, but it may sometimes be interrupted for maintenance, updates or reasons beyond our control. We may add, change or remove features. If we remove a major paid feature you rely on, we will give reasonable notice where practical.

12Suspension and termination

You may stop using Velivoa and delete your account at any time (see Data deletion). We may suspend or end your access if you seriously or repeatedly break these Terms, if required by law, or to protect users, platforms or Velivoa. Where reasonable, we will tell you first and give you a chance to fix the issue. After termination you may request an export of your data within 30 days, after which we delete it as described in our Privacy Policy.

13Disclaimers

To the extent permitted by law, Velivoa is provided "as is" and "as available". We do not guarantee that the service will be uninterrupted or error free, that posts will be accepted or reach any audience, or that any particular results (such as engagement, followers or sales) will be achieved.

14Limitation of liability

To the extent permitted by law, Velivoa will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, or for actions of third party platforms. Our total liability for any claim relating to the service is limited to the amount you paid us in the 12 months before the claim, or USD 50 if you have not paid us. Nothing in these Terms limits liability that cannot be limited by law.

15Indemnity

You agree to defend and compensate Velivoa against claims, losses and costs (including reasonable legal fees) arising from Your Content, your use of connected platforms through Velivoa, or your breach of these Terms or the law.

16Governing law and disputes

These Terms are governed by the laws of Kenya. Before starting any formal proceedings, please contact us so we can try to resolve the issue informally. If we cannot, disputes will be decided by the courts of Nairobi, Kenya, unless mandatory consumer protection law where you live gives you the right to bring a claim in your local courts.

17Changes to these terms

We may update these Terms from time to time. We will post the new version here with a new date and, for important changes, notify you by email or in the app before they take effect. If you keep using Velivoa after changes take effect, you accept the updated Terms.
